'93: ARTICLE I: NAME AND AFFILIATIONS

Section 1. This organization shall be know as Northridge Little League, Inc., hereinafter referred to as "Local League".

*Section 2. Charter: The Local League shall annually apply for a charter from Little League Baseball, Inc., Williamsport, Pennyslvania, and shall do all things necessary to obtain and maintain such charter.

Section 3. Rules and Regulation: The Official Playing Rules and Regulations as published by Little League Baseball, Incorporated, Williamsport, Pennsylvania, shall be binding on the Local League.

Section 4. By-Laws: The rulesof the Local League shall be adopted by the Board of Directors at a meeting to be held not less than one month previous to the first scheduled game of the season, but shall in no way conflict with the rules and regulations of Little League Baseball, Incorporated.

'93: ARTICLE II: GOVERNMENT AND OBJECTIVES

Section 1. The Local League shall be governed by the National Constitution and Bylaws of Little League Baseball, Inc. and by the Local League Constitution and By-Laws.

Section 2. The objective of the Local League shall be to implant firmly in the children of the community the ideals of good sportsmanship, honesty, loyalty, courage and respect for authority, so that they may be well adjusted, stronger and happier children and will grow to be good, decent, healthy and trustworthy citizens.

Section 3. To acheive this objective the Local League will provide a supervised program of competitive baseball games under the rules and regulations of Little League Baseball, Inc.  All Directors, Officers and Members shall bear in mind the attainment of exceptional athletic skills or the winning of game is secondary, and that the molding of future men and women is of prime importance.

Section 4. In accordance with Section 501-(c)-(3) of the Federal Internal Revenue Code, the Local League shall operate exclusively as a non-profit educational organization providing a supervised program of competitive baseball games.  No part of the net earnings shall insure to the benefit of any private shareholder or individual; no substantial part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation, and which does not participate in or intervene in any political campaign on behalf of any candidate for public office.

'93: ARTICLE VII: COMMITTEES

Section 1. The President, subject to the ratification of the Board of Directors, shall have the power to appoint such standing and special committees as shall be determined and to delegate such powers to them as deemed advisable.

Section 2. There shall be the following Standing Committees, the Chairman to be appointed for a term of one year.

(a)

Election Committee: Shall consist of a Chairman and one Board Member from each division (Farm, Minor, Major, Senior and Big League).  The Election Committee shall investigate and consider eligible candidates and submit at the annual meeting a slate of candidates for the Board of Directors.

(b)

Executive Committee: Shall consist of the President as Chairman, and not less than two (2) nor more than four (4) additional Board Members.  The Executive Committee shall advise with and assist the Officers of the Local League in all matters concerning its interest and the management of its affairs, and shall have such other powers as may be delegated to it by the Board.

(c)

Field Maintenance Committee: Shall consist of Chairman, and on Board Member from each division, and Regular Members of the Local League as deemed necessary.  This Committee shall be responsible for the care and maintenance of the playing fields, buildings, and grounds.  It shall operate within the amount appropriated in the approved budget for that purpose.

*(d)

Snack Bar Committe:  Shall consist of Chairman.  who shall be a Board Member, and other members in good standing of the Local League.  This Committee shall be responsible for the operation of the snack bar.  With the approval of the Board of Directors and Chairman, it shall operate within the amount appropriated in the approved budget for that purpose.

(e)

Auxiliary Committee: Shall consist of a Chairman, at least one (1) Board Member, and Regular Members of the Local League as deemed necessary.  This Committee shall be responsible for coordinating the activities of the Auxiliary.  It shall review and evaluate auxiliary projects for raising money and make recommendations to the Board.  The Board of Directors shall approve in advance all projects and actions of the Auxiliary.

(f)

Auditing Committee: The Board of Directors shall appoint an Auditing Committee consisting of three (3) Directors.  The President, treasurer or signators of checks are not eligible for this committee.  This Committee will review the Local League's books and records annually prior to the Annual Meeting and attach a statement of their findings to the annual financial statement of the President and Treasurer; or may, if directed by the Board of Directors or Membership, secure the services of a Certified Public Accountant to accomplish such review.

*(g)

Protest Committee: The President shall appoint a Protest Committee with the following members; President, Player Agents of either the Little League or Senior Divisions, and another Board member of his/her choosing.

Section 3. Special Committee: shall be appointed for the term specified in the action establishing the committee.  This Committee shall consist of a Chairman, Board Member(s) and/or Regular Member(s) of the Local League as deemed necessary in the action establishing the committee.

*Section 4.  The Regular Members of the Local League of all Standing and some Special Committees shall be selected by the respective Committee Chairman, and their names submitted to the Secretary for Board approval.

Section 5.

Meetings of the Standing and Special Committees shall be held at the call of the Chairman of the respective committee.

Section 6. A majority of the members of any Standing or Special Committees shall constitute a quorum at any meeting called.

Section 7. Prior to the end of his term, each Standing and Special Committee Chairman shall prepare a full report of his committee's activities, which shall be made part of the printed record of the Local League.

Section 1. Classes: There shall be the following classes of members.

(a)

Player Members: Any player meeting the requirements of Little League Regulations and who plays in the Local League shall be eligible to participate but shall have no rights, duties, or obligations in the management or in the property of the Local League.

(b)

Regular Members: An individual or family (husband and wife) may become members by payment of annual dues as set forth by the Board of Directors.  Regular membership entitles the individual or family to vote at general elections and participate at all league activities.  *The Secretary of the league shall maintain the role of membership for voting purposes.

Section 2. Other Affiliations: Members, as specified above, shall not be required to be affiliated with another organization or group to qualify as Members of the Local Leauge.

Section 3. All Board Members, Officers, or Committee Members must be Regular Members in good standing.

'93: ARTICLE V: MANAGEMENT

Section 1. Every question which shall come before a meeting of the Local League, the Board, or the Committee, shall be decided by a majority of the votes cast, unless otherwise provided in the Constitution or By-Laws.

*Section 2. Anytime a persons name is brought to a vote, it must be by secret ballot.

Section 3. A majority of the Board Members must be present at a meeting to constitute a quorum for the purpose of transacting business, unless otherwise specified in the Constitution or By-Laws.

Section 4. The Board may order the submission of letter ballots to the membership for decision on questions or matters the Board considers to be of major importance.  The President shall in such case appoint tellers to canvass such a ballot.

Section 5. The Board of Directors, by two-thirds vote of those present at any duly constituted meeting, shall have the authority to discipline or suspend or terminate the membership of any Member when the conduct of such person is considered detrimental to the best interests of the Local and/or Little League Baseball.  An individual may request to be heard in his own defense within this two week period.
